Terms of Service

1. Acceptance of Terms

These Terms of Service are an agreement between you and ChangeGuard LLC ("ChangeGuard," "we," "us," or "our"). By accessing or using ChangeGuard ("the Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Service Description

ChangeGuard provides a construction document analysis service that identifies scope gaps, trade conflicts, and contractual ambiguities in uploaded construction documents.

3. Acceptable Use

  • You must be at least 18 years old to use the Service.
  • You may only upload documents you have the legal right to share and analyze.
  • You may not use the Service for unlawful purposes or to upload confidential information belonging to others without authorization.
  • You may not attempt to reverse-engineer, scrape, or abuse the Service.

4. Account Responsibility

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately at admin@changeguardsoftware.com if you suspect unauthorized access.

5. Data and Privacy

Your uploaded documents are processed to generate scope gap analysis reports. Project documents and reports are retained according to your subscription plan, from 60 days to custom enterprise terms, with advance email warning before scheduled deletion. Public pilot-analysis and website request uploads are deleted after 30 days. We do not sell your data. See our Privacy Policy for full details.

6. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. CHANGEGUARD LLC DOES NOT WARRANT THAT THE SERVICE OR ANY REPORT WILL BE ERROR-FREE, COMPLETE, OR FIT FOR A PARTICULAR PURPOSE. REPORTS USE AUTOMATED ANALYSIS AND ARE REVIEWED BY OUR TEAM BEFORE DELIVERY, BUT THEY DO NOT REPLACE REVIEW BY QUALIFIED CONSTRUCTION PROFESSIONALS.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHANGEGUARD LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING FROM OR RELATED TO THE SERVICE OR A REPORT. TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHANGEGUARD LLC'S TOTAL LIABILITY ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE FEES YOU PAID TO CHANGEGUARD LLC DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

8. Intellectual Property

The Service, including its software and interface, is owned by ChangeGuard LLC. Reports generated from your documents belong to you. You retain all rights to your uploaded documents.

9. Termination

We may suspend or terminate your account for violation of these Terms. You may cancel your account at any time. After termination, project documents and reports remain subject to the retention period for your subscription plan unless earlier deletion is requested, subject to legal and security obligations. Public pilot-analysis and website request uploads are deleted after 30 days.

10. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or a notice on the Service. Continued use after changes constitutes acceptance.

11. Governing Law and Venue

These Terms and any dispute arising from or related to them or the Service are governed by the laws of the State of Alabama, without regard to its conflict-of-laws rules. You and ChangeGuard LLC consent to the exclusive jurisdiction and venue of the state and federal courts located in Alabama.

12. Severability

If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in full force and effect.

13. Entire Agreement

These Terms, the Privacy Policy, and any applicable written order form constitute the entire agreement between you and ChangeGuard LLC concerning the Service and supersede prior or contemporaneous agreements concerning the Service. If an order form conflicts with these Terms, the order form controls only to the extent of that conflict.
